Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, software, and services provided by Humanity Media LLC ("Humanity Media," "we," "us," or "our"), including the website at https://humanitymedia.net and the Bear Email MCP tool described below (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use the Services. Bear Email MCP is offered as a private beta available only to existing Humanity Media clients to whom we have granted access. Access may be revoked at any time at our discretion.

2. Description of Services

  • Website Design, Development, and Hosting — custom design, build, and ongoing hosting and maintenance for client websites under separate written agreements or statements of work.
  • Bear Email MCP — a private-beta software tool that helps clients prepare email drafts and manage calendar events by connecting securely to the client's Google Account.

Where you and Humanity Media have a separate signed agreement or statement of work, that agreement controls in the event of a conflict with these Terms for the subject matter it covers.

3. Bear Email MCP — Authorization Grant

This Section 3 is a material part of the Terms. Please read it carefully.

3.1 OAuth Authorization

To use Bear Email MCP, you must connect a Google Account using Google's OAuth 2.0 authentication flow. By completing the OAuth consent screen and authorizing Bear Email MCP, you expressly grant Humanity Media LLC permission, on your behalf, to:

  • Compose, modify, and store email drafts in your Gmail account using the gmail.compose scope;
  • Send email messages from your Gmail account using the gmail.send scope, when and only when you direct the tool to do so;
  • Read, create, modify, and delete events in your Google Calendar using the calendar scope, in order to view your availability and manage meetings at your direction;
  • Maintain encrypted OAuth refresh tokens that allow the tool to continue performing the actions above between sessions until you disconnect the integration.

This authorization extends only to the scopes you approve on Google's consent screen at the time of connection. Humanity Media will not access any Google data outside those scopes. The full data-handling commitments are set out in our Privacy Policy, including Section 3 ("Bear Email MCP — Google User Data Disclosure").

3.2 AI Processing Acknowledgment

You acknowledge and consent that, in order to generate the text of email drafts and meeting summaries, content you submit (and, where required, the relevant context from your Gmail or Calendar) will be transmitted to a third-party large-language-model provider — currently Anthropic and/or OpenAI — for transient processing. You acknowledge that:

  • This processing happens in real time and the providers do not retain or use the content to train their models;
  • Generated drafts may contain errors and you are responsible for reviewing them before sending;
  • You will not submit content that is unlawful, infringing, or that you do not have the right to share with a third-party processor.

3.3 Revocation

You may revoke this authorization at any time by removing Bear Email MCP from your Google Account permissions at https://myaccount.google.com/permissions or by emailing [email protected]. Revocation will end the tool's ability to act on your behalf and we will purge stored OAuth tokens within seven (7) days. Actions you previously directed (such as emails already sent) cannot be undone.

3.4 Compliance with Google Policies

Bear Email MCP's access to and use of information from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data, do not transfer it for advertising, do not use it to train generalized AI/ML models, and do not allow humans to read it except in the narrow circumstances described in our Privacy Policy.

4. Account Security

You are responsible for maintaining the confidentiality of any credentials used to access the Services and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized access or suspected security breach.

5. Acceptable Use

You agree not to:

  • Use the Services to send spam, phishing, malware, or other unlawful, abusive, or deceptive content;
  • Use Bear Email MCP to impersonate another person, mass-mail recipients without consent, or violate the CAN-SPAM Act, GDPR, or other applicable law;
  • Attempt to access accounts, data, or systems you are not authorized to access;
  • Reverse-engineer, decompile, or attempt to derive source code of the Services, except as expressly permitted by law;
  • Interfere with the operation, security, or integrity of the Services or any third-party service connected to them (including Google APIs);
  • Use the Services in any way that would cause Humanity Media to violate the Google API Services User Data Policy or any other third-party terms.

We may suspend or terminate your access for any violation of this Section.

6. Fees and Billing

Fees for hosting, maintenance, and other paid Services are set out in your applicable order, statement of work, or service agreement. Payments are processed by Stripe; by submitting payment information you agree to Stripe's terms. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and due upon receipt of invoice. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Humanity Media or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. Custom deliverables produced under a separate client agreement are governed by that agreement's IP terms. Nothing in these Terms transfers ownership of your content to us; you retain all rights in content you provide, and you grant us a non-exclusive license to host, transmit, and process it solely to provide the Services.

8. Confidentiality

To the extent you share confidential information with us through the Services, we will use reasonable measures to protect it and will not disclose it except as needed to provide the Services or as required by law.

9. Disclaimers

Bear Email MCP is provided as a private beta. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated output will be accurate or appropriate for any particular use. You are solely responsible for reviewing AI-generated drafts before sending and for any actions taken using the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANITY MEDIA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Humanity Media and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your content or instructions submitted to the Services, (c) your violation of these Terms, or (d) your violation of any third-party right, including any Google policy.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. You may stop using the Services at any time and may revoke Bear Email MCP's Google authorization as described in Section 3.3. Sections that by their nature should survive termination (including Sections 7–11, 13, and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide additional notice. Your continued use of the Services after the changes become effective means you accept the updated Terms.

15. Miscellaneous

These Terms, together with any separate written agreement between you and Humanity Media and our Privacy Policy, are the entire agreement between us and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
